What Is Form 5472?
Form 5472 (Information Return of a 25% Foreign-Owned US Corporation or a Foreign Corporation Engaged in a US Trade or Business) is one of the most important โ and most overlooked โ IRS requirements for Nigerian entrepreneurs who own US LLCs.
If you are a Nigerian resident who owns 25% or more of a US LLC, the IRS requires you to file Form 5472 annually. Failure to file results in an automatic $25,000 penalty per year โ even if your LLC earned no revenue.
Who Must File Form 5472?
- Any Nigerian (or other non-US resident) who owns 25%+ of a US LLC
- The requirement applies even for single-member LLCs owned 100% by a Nigerian
- The penalty applies per year, per LLC โ so two LLCs = potential $50,000 in penalties
- The LLC must also file a "dummy" Form 1120 with the 5472 attached
What Form 5472 Reports
Form 5472 reports transactions between your US LLC and related foreign parties โ which includes you (the Nigerian owner). Reportable transactions include:
- Money you put into the LLC (capital contributions)
- Money you take out of the LLC (distributions)
- Loans between you and the LLC
- Services provided between you and the LLC
- Any assets transferred to or from the LLC
The ITIN Connection to Form 5472
To be identified as the foreign owner on Form 5472, you need a US tax identification number. For Nigerian individuals, this is your ITIN. Without an ITIN, the form cannot be properly completed, which can compound your compliance issues.
The IRS automatically assesses $25,000 per LLC per year for failure to file Form 5472. This penalty does not require a finding of willful non-compliance โ it is automatic. The IRS has been increasingly aggressive about enforcing this requirement.
Form 5472 Filing Deadline
Form 5472 (attached to a pro forma Form 1120) is due by April 15 of the following year, with an automatic 6-month extension available (extending to October 15). The extension must be requested โ it is not automatic.
